We aim to keep our Sites available and operating effectively. However, we do not guarantee that either Site, or any particular content or functionality within a Site, will always be available or uninterrupted.
We may suspend, withdraw, restrict or change all or any part of our Sites where reasonably necessary, including for:
- maintenance;

- changes to our services; or
- circumstances outside our reasonable control.
We will try to provide reasonable notice of significant planned interruptions where practicable.
You are responsible for ensuring that anyone accessing our Sites through your internet connection or using your business account is aware of these Terms and complies with them.
5. Customer Accounts and Login Details
Certain areas of our Sites are available only to registered customers.
Where you are provided with a username, password, account number or other security information, you must:
- keep those details confidential;
- take reasonable steps to prevent unauthorised access;
- not disclose your login credentials to anyone who is not authorised to use your business account; and

We may disable or suspend an account or login where we reasonably believe:
- the account is being misused;

- these Terms have been breached; or
- suspension is reasonably required for legal, regulatory or commercial reasons.
Registration for a customer account may also be subject to our separate Terms and Conditions Sale.
6. Ordering Through Our Sites
Our online ordering Site enables eligible customers to browse products and submit orders to United Wholesale.

The placing and acceptance of orders, payment, pricing, delivery, collection, product availability, returns, retention of title and other conditions relating to purchases are governed by our separate Terms and Conditions of Sale.
Nothing in these Website Terms changes or replaces our Terms and Conditions of Sale.
Where there is any conflict between these Terms and our Terms and Conditions of Sale in relation to the purchase or supply of goods, the Terms and Conditions of Sale will take precedence.
7. Product, Pricing and Promotional Information
We take reasonable care to ensure that information displayed on our Sites is accurate and up to date.

Product images are provided for illustrative purposes and packaging, appearance, formulation or specification may change.
Prices and promotions are subject to the applicable Terms and Conditions of Sale and any specific promotional terms displayed at the time.
Where an error is identified in information relating to an order, it will be dealt with in accordance with our applicable Terms and Conditions of Sale.

10. Information on Our Corporate Website
Content published on our corporate website is provided for general business and informational purposes.
While we take reasonable care over the information published, it should not be treated as professional, legal, financial or other specialist advice.
You should obtain appropriate professional advice where necessary before acting on information where the circumstances require it.
This does not affect specific contractual information provided through our ordering Site or contained in agreements between United Wholesale and its customers.
11. Third-Party Websites
Our Sites may contain links to websites or services operated by third parties.
These links are provided for convenience or information only.
United Wholesale does not control third-party websites and is not responsible for their content, availability, security, privacy practices or terms.
The inclusion of a link does not necessarily mean that United Wholesale endorses the third-party website, organisation, product or service.
You should review the terms and privacy policies of third-party websites before using them.
12. Linking to Our Sites
You may link to publicly accessible pages of our corporate website provided that you do so fairly, lawfully and in a way which does not damage our reputation.
You must not create a link which:
- suggests an association, approval or endorsement by United Wholesale where none exists;
- misrepresents your relationship with us;
- displays our Sites within another website through framing without permission; or
- links directly into secure, restricted or customer-account areas without authorisation.
We reserve the right to withdraw linking permission where reasonably necessary.
13. Website Security
We take reasonable measures to protect the security of our Sites.
However, no website or online service can be guaranteed to be completely secure or free from bugs, vulnerabilities or malicious software.
You are responsible for:

- maintaining the security of your own devices and systems;
- keeping passwords confidential;
- keeping browsers and software appropriately updated; and
- taking reasonable precautions when accessing online services.
You must notify us promptly if you become aware of a security concern relating to your United Wholesale account or our Sites.
14. Our Responsibility to You
Nothing in these Terms excludes or limits liability where it would be unlawful for us to do so, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot legally be excluded or limited.
As our wholesale services are intended primarily for business customers, to the fullest extent permitted by law we will not be responsible for indirect or consequential losses arising solely from the availability, interruption or use of our Sites.
This may include loss of profit, loss of business, loss of opportunity or loss of anticipated savings where such loss is indirect or consequential.
Nothing in this section changes any liability or remedy expressly provided under our Terms and Conditions of Sale or another agreement between United Wholesale and the customer.
15. Privacy and Personal Information
Our collection and use of personal information is governed by our Privacy Policy.
The Privacy Policy explains, among other things, how we collect, use, store and share personal information and the rights individuals may have in relation to their information.
Where you provide personal information relating to another individual, you must ensure that you are authorised to provide that information to us where required.
Our Privacy Policy should be read alongside these Terms.
16. Cookies
Our Sites may use cookies and similar technologies.
Information about the cookies we use, why we use them and how users can manage their preferences is available in our Cookie Policy.
Where required, non-essential cookies and similar technologies will be used in accordance with the choices made through our cookie consent or preference system.

- changes to our Sites;
- changes to our services;
- changes in technology;
- legal or regulatory requirements; or
- changes to our business practices.
The latest version will be published on our Sites together with the date on which it was last updated.
Where a change materially affects registered customers, we may also provide additional notice where appropriate.
Your continued use of our Sites following publication of updated Terms will mean that the updated Terms apply to your subsequent use of the Sites.
18. Suspension and Termination
We may suspend or terminate a user’s access to all or part of our Sites where reasonably necessary, including where:
- these Terms have been materially breached;
- there is suspected fraud or unauthorised use;

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary.
If modification is not possible, the relevant provision will be treated as deleted.
The remaining provisions will continue in full force and effect.
20. No Waiver
If United Wholesale does not immediately exercise a right or remedy under these Terms, this does not mean that we have waived that right or remedy.
21. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, are governed by the laws of Scotland.
